By using the URBM platform at urbmcrew.com or related mobile applications (collectively, the “Platform”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

1. Definitions

Platform: The URBM website, mobile applications, and associated administrative services.

Service Provider: An individual or entity providing general contractor services (e.g., construction, renovations, maintenance) or staffing services (e.g., temporary or permanent personnel placement) through the Platform.

User/Client: An individual or entity booking Services through the Platform.

Services: General contractor or staffing services provided by Service Providers to Users via the Platform.

Booking Request: A User’s request for Services through the Platform.

Content: Materials, data, or information uploaded, shared, or created on the Platform.

2. Eligibility

Users and Service Providers must be at least 18 years old and legally capable of entering binding contracts. Service Providers must hold valid licenses, permits, and certifications required for their Services.

3. Service Provider Obligations

Service Providers shall:

Maintain valid licenses, permits, and certifications, verified by URBM prior to providing Services.

Comply with all federal, state, and local laws, including labor, tax, safety, and anti-discrimination regulations.

Provide qualified, experienced personnel or competent professionals for Services.

Maintain adequate insurance (e.g., general liability, workers’ compensation) and provide proof upon request.

Notify URBM of any legal or regulatory violations within 48 hours.

URBM reserves the right to suspend or terminate Service Providers for non-compliance.

4. User Obligations

Users shall:

Provide accurate information for Booking Requests and payments.

Pay for Services as agreed with the Service Provider.

Comply with applicable laws and these Terms.

Notify URBM of any issues with Services within 7 days of completion.

5. Booking and Payment

Booking Process: Users submit Booking Requests via the Platform. Service Providers accept or reject requests within 24 hours. Accepted requests form a binding agreement between User and Service Provider.

Payment: Users pay Service Providers directly through the Platform’s payment system. URBM may charge a service fee, disclosed at booking.

Cancellations: Users may cancel Booking Requests up to 48 hours before the Service start date for a full refund, unless otherwise agreed. Service Providers may cancel with 48 hours’ notice; URBM will assist Users in finding alternatives.

6. Dispute Resolution

Process: Disputes between Users, Service Providers, or URBM must first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Miami, Florida, under the American Arbitration Association’s rules.

Governing Law: These Terms are governed by Florida law, excluding conflict of law provisions.

Jurisdiction: Any non-arbitrable claims shall be filed in state or federal courts in Miami-Dade County, Florida.

7. Liability and Indemnity

URBM Liability: URBM is not liable for damages arising from Services, Service Provider actions, or User conduct. URBM’s total liability shall not exceed the fees paid to URBM in the prior 12 months.

Service Provider Indemnity: Service Providers shall indemnify URBM and Users against claims arising from their Services, negligence, or breach of these Terms.

User Indemnity: Users shall indemnify URBM against claims arising from their misuse of the Platform or violation of these Terms.

8. Data Privacy

Data Collection: URBM collects personal and financial information necessary for Platform operation, as detailed in our Privacy Policy at urbmcrew.com/privacy.

Data Use: URBM uses data to process bookings, payments, and improve services. Data is not shared with third parties except as required for Services or by law.

Security: URBM employs industry-standard measures to protect data but is not liable for unauthorized access beyond its control.

9. Intellectual Property

Ownership: Content created by Users or Service Providers remains their property. URBM retains ownership of Platform content, logos, and trademarks.

License: Users and Service Providers grant URBM a non-exclusive, worldwide license to use Content for Platform operations and promotion.

10. Termination

By URBM: URBM may suspend or terminate access for Users or Service Providers violating these Terms or applicable laws, with written notice.

By Users/Service Providers: Users or Service Providers may terminate their accounts by contacting URBM at (786) 751-4644 or [email protected].

Effect: Termination does not relieve parties of obligations (e.g., payments, indemnities) incurred prior to termination.

11. Miscellaneous

Amendments: URBM may update these Terms with 30 days’ notice via the Platform or email. Continued use constitutes acceptance.

Force Majeure: URBM is not liable for delays or failures due to events beyond its control (e.g., natural disasters, pandemics).
